Terms and Conditions

1. Service Provider and User Definition

These Terms and Conditions ("Terms") govern access to and use of the MVP prototyping services provided by Kerala Blockchain Academy (KBA). For the purposes of these Terms, "KBA", "we", "us", or "our" refers to Kerala Blockchain Academy, the service provider. "User", "you", or "your" refers to any individual or entity accessing, browsing, or using the service in any manner.

2. Nature of Services

Minimum Viable Products (MVPs) and prototypes are developed exclusively for validation and demonstration purposes and shall not be considered production-ready unless expressly agreed in writing.

3. Deliverables and Limitations

Deliverables may include limitations, incomplete features, or defects, and are provided on an "as-is" basis consistent with the nature of prototyping services.

4. Scope of Work

All work shall be strictly limited to the agreed scope. Any additions or modifications shall require prior approval and may be subject to additional charges.

5. Requirements and Timelines

All requirements must be clearly specified in advance. Timelines are indicative and non-binding. KBA shall not be responsible for delays arising from delayed inputs, feedback, or external dependencies, including third-party services.

6. Payments and Commercial Terms

Payments shall be made as agreed (advance or milestone-based) and are non-refundable once work has commenced. KBA reserves the right to pause or terminate work in case of non-payment. Deliverables and associated rights shall be transferred only upon receipt of full payment.

7. Intellectual Property

Reusable components, frameworks, tools, and underlying methodologies shall remain the property of KBA. Any open-source components shall be governed by their respective licenses.

8. Confidentiality

All information shared between the parties shall be treated as confidential. A separate Non-Disclosure Agreement (NDA) may be executed where required.

9. Data and Third-Party Dependencies

All data and content shared by the User shall be deemed authorised and lawful. KBA shall not be liable for such data or for any third-party integrations, including APIs, blockchain networks, or external tools. Such integrations shall be treated as external dependencies, and KBA shall not be responsible for their performance, changes, or associated costs.

10. Support and Maintenance

Post-delivery support shall be limited unless otherwise agreed. Any ongoing maintenance or enhancements shall require a separate agreement.

11. Termination and Acceptable Use

KBA reserves the right to terminate or suspend services in cases of non-payment, scope disputes, policy violations, or misuse of services. Deliverables shall be shared in proportion to the work completed and payments received. The services shall not be used for any illegal, fraudulent, or harmful purposes.

12. User Identity and Verification

The User shall provide accurate and verifiable legal identity details (individual or entity, including registration details where applicable). KBA reserves the right to deny or terminate services, without refund, in cases of false, incomplete, or non-verifiable information.
